These Terms of Use ("Terms") govern your access to and use of the website located at ultegrity.ai (the "Site") and all tools, features, and services made available through the Site, including the AI Risk Assessment tool (the "Assessment Tool") and the AI Compliance Intelligence feed (the "Intelligence Feed"). The Site is owned and operated by Marc J. Weinstein PLLC (the "Firm," "we," "us," or "our"), doing business as Ultegrity. By accessing the Site or using any of its features, you agree to be bound by these Terms. If you do not agree to these Terms, do not access the Site or use any of its features.
1. Description of Services
The Site provides AI governance tools, compliance intelligence, and curated resources to help organizations evaluate and strengthen their approach to artificial intelligence governance. The Site's features include:
The Assessment Tool. An interactive self-assessment designed to help organizations evaluate their current approach to AI governance. The Assessment Tool presents a series of questions, generates a numerical AI Risk Score based on the responses provided, and produces an AI Risk Assessment Report tailored to the responses provided (the "Report") containing informational content, analysis, and recommendations.
The Intelligence Feed. A curated feed of AI governance-related news articles and court decisions, enriched with AI-generated summaries. The Intelligence Feed aggregates content from third-party sources and uses artificial intelligence to produce brief summaries for informational purposes. The Intelligence Feed does not provide legal analysis and the AI-generated summaries are not reviewed by an attorney prior to publication.
The Reference Library. A curated collection of links to third-party frameworks, standards, regulatory guidance, and other AI governance resources. The Firm does not provide or distribute the underlying third-party materials; the Reference Library directs users to the original sources.
2. No Attorney-Client Relationship
Your use of the Site, the Assessment Tool, the Intelligence Feed, or any other feature of the Site does not create an attorney-client relationship between you, your organization, or any other person or entity and the Firm. No attorney-client relationship exists unless and until a separate, written engagement agreement is executed by the Firm and the client. Communications through the Site, including information submitted through the Assessment Tool, are not protected by attorney-client privilege or the work product doctrine.
3. Not Legal Advice
The content of the Site, the Assessment Tool, any Report generated through the Assessment Tool, the Intelligence Feed, and the Reference Library are provided for informational and educational purposes only and do not constitute legal advice. The AI-generated summaries in the Intelligence Feed are produced by automated processes, are not reviewed by an attorney, and should not be relied upon as legal analysis. The information, analysis, and recommendations contained in any Report are general in nature and are not tailored to the specific legal, regulatory, or operational circumstances of your organization. You should not act or refrain from acting based on any content on the Site without first consulting qualified legal counsel who can evaluate your specific circumstances. The Assessment Tool is not a legal compliance audit, regulatory assessment, or certification of any kind.
4. Eligibility
The Assessment Tool is intended for use by professionals acting on behalf of an organization. By using the Assessment Tool, you represent that you are at least 18 years of age and that you have the authority to provide information about your organization's practices as contemplated by the Assessment Tool. The Intelligence Feed and Reference Library are available to all visitors to the Site.
5. User Responsibilities
You are solely responsible for the accuracy and completeness of the responses you provide when using the Assessment Tool, and you acknowledge that any Report generated from those responses is only as reliable as the information on which it is based. By completing the assessment, you consent to the transmission of your Assessment Data (as defined in the Privacy Policy) to the Firm at the point of completion, regardless of whether you subsequently provide Contact Information. If you request a Report, you agree to provide accurate, current, and complete Contact Information (as defined in the Privacy Policy), including your name, professional title, organization name, and organizational email address. You agree to provide an organizational email address, not a personal email address, when requesting a Report.
6. Intellectual Property
All content on the Site, including the Assessment Tool, the questions, response blocks, scoring methodology, report content, Intelligence Feed summaries, design, text, graphics, and underlying code, is the property of the Firm and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site or any Report for commercial purposes without the prior written consent of the Firm.
You are granted a limited, non-exclusive, non-transferable license to use the Report generated from your completion of the Assessment Tool for your organization's internal purposes only. This license does not extend to the underlying content framework, scoring methodology, or any other intellectual property of the Firm.
The Intelligence Feed contains AI-generated summaries of and links to content from third-party sources. The original articles and court decisions linked in the Intelligence Feed are the property of their respective authors, publishers, and courts. The Firm claims no ownership of third-party content.
7. Confidentiality of Assessment Responses and Reports
The Firm treats your Assessment Data and your Report (each as defined in the Privacy Policy) as confidential to the extent that either can be associated with an identified individual or organization. Your Assessment Data consist of your responses to the assessment, score, and classifications generated from your responses. Your Report is the particular combination of content assembled based on your Assessment Data. Taken together, these reveal information about your organization's AI governance practices. The Firm will not disclose Assessment Data or Reports that can be associated with your organization to third parties without your consent, except as required by law, legal process, or court order, or in aggregated, de-identified form that cannot reasonably be used to identify your organization. Assessment Data received by the Firm without Contact Information cannot be associated with any individual or organization and is not subject to these confidentiality commitments. These confidentiality commitments do not apply to the underlying content framework, including the questions, response block text, scoring methodology, tier narratives, domain summaries, recommendations, and the selection and arrangement of resources, which are the intellectual property of the Firm. These confidentiality commitments are contractual obligations and do not create or imply any evidentiary privilege. 8. Disclaimer of Warranties
The Site, the Assessment Tool, the Intelligence Feed, and all content provided through the Site are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. The Firm disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. The Firm does not warrant that the Site or any of its features will be uninterrupted, error-free, or free of viruses or other harmful components. The Firm does not warrant that the information contained in any Report, Intelligence Feed summary, or other content is complete, accurate, or current, or that reliance on such information will achieve any particular result. AI-generated summaries in the Intelligence Feed may contain errors, omissions, or inaccuracies.
9. Limitation of Liability
To the fullest extent permitted by applicable law, the Firm shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use of or inability to use the Site, the Assessment Tool, the Intelligence Feed, or any Report or other content, whether based in contract, tort, strict liability, or any other legal theory, even if the Firm has been advised of the possibility of such damages. You assume all risk associated with your use of the Site and its features.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Firm and its members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site or any of its features, your violation of these Terms, or your violation of any rights of a third party.
11. Third-Party Content and Services
The Site contains links to third-party websites, resources, and content, including in the Intelligence Feed and the Reference Library. These links are provided for your convenience and informational purposes only. The Firm has no control over and assumes no responsibility for the content, accuracy, privacy policies, or practices of any third-party websites or resources. The inclusion of any link does not imply endorsement by the Firm. The AI-generated summaries of third-party content in the Intelligence Feed are produced for informational purposes and may not accurately reflect the content of the original source. Users should consult the original sources for authoritative information.
12. Modifications
The Firm reserves the right to modify these Terms at any time. Any changes will be effective upon posting of the revised Terms on the Site with an updated effective date. Your continued use of the Site following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Philadelphia, Pennsylvania. You consent to the personal jurisdiction of such courts.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any disclaimers presented through the Assessment Tool, constitute the entire agreement between you and the Firm regarding your use of the Site, and supersede all prior and contemporaneous agreements, representations, and understandings.
